Terms of Service

The rules for using Memory Store and the hosted MCP server.

By using memory.store, you agree to these terms and to the way Memory Store handles data in the Privacy Policy.

1. Agreement

These Terms of Service ("Terms") govern your use of memory.store, the Memory Store web app, the hosted MCP server at https://memory.store/mcp, integrations, APIs, documentation, and related services (together, the "Service"). In these Terms, "Memory Store," "we," "us," and "our" refer to the operator of the Service.

If you use the Service for a company or other organization, you represent that you have authority to bind that organization. If you do not agree to these Terms, do not use the Service.

2. The service

Memory Store stores and retrieves memory for people and agents. The Service can save content you send directly, content sent by an agent acting under your instruction, and content from integrations you connect.

Some features depend on third-party clients or platforms, including ChatGPT, Claude, Cursor, Slack, Fathom, and other tools. Those services are not controlled by Memory Store. Their terms and privacy policies still apply.

3. Accounts and access

You may need an account to use the Service. You agree to provide accurate account information, keep your login credentials secure, and tell us if you believe your account has been accessed without permission.

You are responsible for activity under your account, including actions taken by agents, apps, MCP clients, API clients, or teammates that you authorize. You must be at least 13 years old to use Memory Store.

4. OAuth, integrations, and clients

When you connect a third-party service, you authorize Memory Store to access and process the information needed to provide the integration. You can revoke access from Memory Store or from the connected provider.

If you connect Memory Store through ChatGPT or another MCP client, that client may decide when to call Memory Store tools based on your prompts and the permissions you grant. Memory Store is responsible for the MCP server we operate. The client is responsible for its own interface, routing, model behavior, and account controls.

5. Your content

You keep your rights in the content you submit, store, or retrieve through the Service ("User Content"). You grant Memory Store a limited license to host, process, index, summarize, display, transmit, and otherwise use User Content only to provide, secure, support, and improve the Service.

You represent that you have the rights and permissions needed to send User Content to Memory Store and to allow us to process it under these Terms and the Privacy Policy.

6. Restricted data

Do not use Memory Store to store payment card numbers, health records, government identifiers, passwords, private keys, seed phrases, or unrelated access credentials. Memory Store is not designed for PCI DSS payment-card data, regulated health data, or other data that requires a separate written compliance agreement.

7. Acceptable use

You agree not to use the Service to:

  • Break the law or violate someone else's rights.
  • Send malware, abusive content, or content that exploits minors.
  • Impersonate another person or misrepresent authorization.
  • Access another user's account, memory, workspace, or integration without permission.
  • Probe, scan, overload, disrupt, or bypass security or rate limits.
  • Scrape third-party services or use integrations in ways that violate their terms.
  • Use Memory Store to build an unauthorized pass-through connector to a third-party service.
  • Reverse engineer non-public parts of the Service except where law permits it.
  • Use outputs as a substitute for professional legal, medical, financial, or safety advice.

8. AI outputs and memory quality

Memory Store uses retrieval, embeddings, model calls, and deterministic database logic to save and recall memory. Outputs may be incomplete, stale, or wrong. You are responsible for checking important information before you rely on it.

Memory Store does not promise that a memory will always be recalled, summarized, ranked, or interpreted correctly.

9. Privacy

The Privacy Policy explains what we collect, how we use it, who receives it, retention, deletion, and your controls. By using the Service, you agree that we may process data as described in that policy.

10. Subscriptions and payment

Paid plans, trials, renewal terms, usage limits, and prices are shown at checkout or in the product. Unless stated otherwise, subscriptions renew until canceled. You authorize us and our payment processor to charge the payment method you provide.

Taxes may apply. Fees are non-refundable except where required by law or where we state otherwise in writing. We may change prices or plan features with reasonable notice.

11. Service changes

We may add, change, suspend, or remove features. We may also set limits on usage, storage, integrations, or access when needed to operate the Service or protect other users.

We try to avoid breaking changes without notice, but the Service is still evolving. Developer-facing behavior may change as MCP clients, model providers, and connected platforms change.

12. Intellectual property

Memory Store and its software, documentation, designs, logos, names, and other non-user content are owned by Memory Store or its licensors. These Terms do not give you rights to our trademarks, branding, or non-public software.

Feedback is voluntary. If you send suggestions, bug reports, or ideas, you allow us to use them without restriction or compensation.

13. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms, create risk for the Service or other users, fail to pay fees, or if we are required to do so by law.

After account closure, we handle deletion and retention as described in the Privacy Policy. Sections that should survive termination will survive, including ownership, payment obligations, disclaimers, liability limits, indemnity, and dispute terms.

14. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND AVAILABILITY.

We do not guarantee uninterrupted service, error-free operation, permanent storage, complete retrieval, or that outputs will meet your requirements.

15. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEMORY STORE AND ITS AFFILIATES, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, OR GOODWILL LOSS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU PAID MEMORY STORE FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

16. Indemnity

You agree to defend, indemnify, and hold harmless Memory Store and its affiliates, employees, contractors, licensors, and service providers from claims, losses, liabilities, damages, costs, and expenses, including reasonable attorneys' fees, arising from your use of the Service, your User Content, your violation of these Terms, or your violation of someone else's rights.

17. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Any dispute arising from or relating to these Terms or the Service will be resolved in the state or federal courts located in Delaware, unless a different forum is required by law.

18. Changes to these terms

We may update these Terms as the Service changes. If a change is material, we will update the date on this page and provide additional notice when required. Your continued use of the Service after the effective date means you accept the updated Terms.
