The agreement between you and memory.store.
By using memory.store, you agree to these terms. Please read them carefully.
1. Acceptance of Terms
By accessing or using memory.store ("Service"), operated by memory.store ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and all applicable laws and regulations.
If you do not agree with any of these terms, you are prohibited from using or accessing the Service. These Terms apply to all visitors, users, and others who access or use the Service.
2. Description of Service
memory.store provides a personal memory layer that syncs conversations, snippets, and decisions across your tools. The Service allows you to store, organize, and retrieve information across multiple platforms and applications.
We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
3. User Accounts and Registration
To use certain features of the Service, you must register for an account. You may register directly or through third-party authentication services such as Google. When you register, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Maintain the security and confidentiality of your login credentials
- Accept responsibility for all activities that occur under your account
- Notify us immediately of any unauthorized use of your account
You must be at least 13 years of age to use the Service. By using the Service, you represent and warrant that you meet this age requirement.
4. Third-Party Authentication (Google Sign-In)
Our Service offers authentication through Google Sign-In. By choosing to authenticate via Google, you agree to:
- Allow us to access basic profile information from your Google account (such as your name and email address) as described in our Privacy Policy
- Comply with Google's Terms of Service in addition to these Terms
We only request the minimum permissions necessary to provide the Service. We do not access, store, or share your Google password. You can revoke our access to your Google account at any time through your Google account settings.
5. User Data and Content
Your Content: You retain all rights to the content you store, upload, or transmit through the Service ("User Content"). By using the Service, you grant us a limited license to store, process, and display your User Content solely to provide the Service to you.
Data Usage: We do not sell your data to third parties. We do not use your data to train AI models. Your data is used solely to provide and improve the Service for you. For complete details, please see our Privacy Policy.
Data Portability: You may export your data at any time. Upon account deletion, we will delete your data in accordance with our Privacy Policy.
6. Acceptable Use Policy
You agree not to use the Service to:
- Violate any applicable local, state, national, or international law or regulation
- Infringe upon the intellectual property rights of others
- Transmit any material that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
- Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity
- Interfere with or disrupt the Service or servers or networks connected to the Service
- Attempt to gain unauthorized access to any portion of the Service or any other systems or networks
- Use any automated means to access the Service without our express written permission
- Collect or store personal data about other users without their consent

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of memory.store and its licensors. The Service is protected by copyright, trademark, and other laws.
Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of memory.store.

9. Disclaimers
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
memory.store, its subsidiaries, affiliates, and licensors do not warrant that: (a) the Service will function uninterrupted, secure, or available at any particular time or location; (b) any errors or defects will be corrected; (c) the Service is free of viruses or other harmful components; or (d) the results of using the Service will meet your requirements.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MEMORY.STORE, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF THE SERVICE EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING THE SERVICE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE DATE OF THE CLAIM OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
11. Indemnification
You agree to defend, indemnify, and hold harmless memory.store and its licensees, licensors, employees, contractors, agents, officers, and directors from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (a) your use of and access to the Service; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including without limitation any intellectual property or privacy right; or (d) any claim that your User Content caused damage to a third party.
12. Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.
Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may do so by contacting us or using the account deletion feature within the Service.
All provisions of these Terms which by their nature should survive termination shall survive termination, including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
13. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Any dispute arising from or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Wilmington, Delaware, and the arbitrator's decision shall be final and binding.
Notwithstanding the foregoing, we may seek injunctive or other equitable relief in any court of competent jurisdiction.
14. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect by posting the updated Terms on this page and updating the "Last updated" date.
By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
15. Severability
If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. The invalid or unenforceable provision will be modified to the minimum extent necessary to make it valid and enforceable.
16. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and memory.store regarding your use of the Service and supersede all prior and contemporaneous written or oral agreements between you and memory.store.
